CONTRACT BETWEEN BROKER AND MOTOR CARRIER
(Carrier)*
This contract is made and entered into as of the date written below, by and between Connect 1 Logistics, LLC (Broker) and the carrier “Specified”:
1. Carrier represents and warrants that it is properly licensed pursuant to applicable state and federal laws and agrees to provide the transportation services specified in each and every rate excepted by carrier. The contract shall apply to all shipments of freight tendered by broker and accepted by carrier. From the date specified below and continue thereafter until this contract is terminated by either party upon thirty days prior written notice to the party at the address written below. 2. Carrier agrees that the compensation specified in the rate confirmation is the entire compensation to be paid to the carrier for the subject shipment and that said shipment is not subject to charges of liability limitations contained in any tariffs or classifications of carrier. 3. Carrier agrees that they shall be liable for and that broker may set off from compensation do carrier all freight claims and charges for extra time rescheduling of crews or loading or unloading equipment that are incurred due to carrier failure to meet scheduled pickup and delivery time. 4. Carrier agrees to be liable for the full value of and loss unless a release value is agreed to in advance, in writing. Carrier shall be liable as a common carrier pursuant to 49 U.S.C. Section 14706 for any claim loss. Damage or delay and any such claims shall be administered pursuant to 49 C.F.R. Sections 370 and 1005. 5. Carrier represents and warrants that it maintains public liability insurance with a combined single limit of not less than 1,000,000.00 per occurrence and cargo insurance of not less than 50,000.00 per occurrence. 6. The relationship of carrier and Broker shall, at all times, be that of an independent contractor. 7. Broker shall pay carrier within thirty days or receipts from carrier of the signed delivery receipt and the carrier invoice. 8. In the event of a conflict between the terms, conditions and the provisions of this contract and any bill of lading or delivery receipt, the terms, conditions and provisions of this contract shall govern for all purposes. 9. Carrier shall indemnify and hold harmless broker and the shipper of the goods transported hereunder, which the parties stipulate is an intended third party beneficiary of this contract, from and against any and all loss, damage, fine expense, action or claim arising out of or related to transportation services performed pursuant to or under this contract. 10. Carrier agrees for the term of this contract and for the period of one year from the date or termination of this contract that carrier will refrain from soliciting or performing services for the shipper of any freight tendered to any carrier by the broker under this contract, in the event that the carrier breached this section 10, carrier shall pay broker 20% or gross billings for each shipment transported by the carrier, or directly or indirectly arranged by the carrier in violation of section 10. 11. The parties acknowledge that this contract is a contract within the meaning of 49 U.S.C. Section 14101 (b) (1). This contract supersedes all prior written and oral arrangements of the parties relating to the subject matter hereof and only may be modified by a writing signed by both parties hereto. Section 2,3,4,9 and 10 of this contract shall survive termination of this contract. 12. Edits, deletions or changes of any kind to this contract are invalid unless initiated in agreement by both parties. Should either party attempt to change this contract in any way without agreement of the other party, this contract shall remain in its original form.

PAY OPTIONS FOR CARRIERS
If an ACH option is chosen you are responsible to complete the Authorization Agreement that will be sent to you after your company has been set up as a carrier. The authorization will be emailed to you along with confirmation that your company set up is complete. At that time you can fill out the authorization and return it along with a copy of a voided check emailed to michelle@connect1logistics.com. If this is not received, you will be enrolled in the paper check option until the form and voided check are received. Paper checks will not be accepted for the same day pay option

By selecting this option, Carrier's properly submitted paperwork (invoice, bill of lading, and signed proof of delivery) will be paid by having funds transmitted to the bank account designated by the Carrier via ACH electronic funds transfer submitted to the bank on the same business day, providing that all paperwork has been received before 3:00 p.m. The funds will be available in your account the FOLLOWING BUSINESS DAY. For this option, a four (4%) percent discount will be deducted from the total invoice amount.
By selecting this option, Carrier's properly submitted paperwork (invoice, bill of lading, and signed proof of delivery) will be paid by having an ACH funds transfer submitted to the bank account designated or paper check on Monday's of the following week. The funds will be available in your account Tuesday. All paperwork must be submitted by 5:00 p.m. on Sunday. For this option, a two (2%) percent discount will be deducted from the total invoice amount.
By selecting this option, Carrier’s properly submitted paperwork (invoice, bill of lading, and signed proof of delivery) will be paid by having an ACH funds transfer submitted to the bank account designated, paper check 30 days from receipt of invoice. For this option, there will be no discount deducted from the total invoice.
Invoices that do not have the Broker’s correct reference number or which do not match the amount approved by the office or do not have the required paperwork or backup, will be paid within the standard terms of Broker after the foregoing discrepancies are resolved. Broker reserves the right to review all invoices and charges after payment and to request a refund where it believes that the original invoice included and over charge or duplicate payment. Business days do not include Saturdays, Sundays or holidays celebrated by Broker.

Broker may change or cancel this pay option contract upon thirty (30) days notice to Carrier at anytime. If Broker notifies Carrier of a change and Carrier continues to accept loads for Broker after the effective date of the change then the Carrier shall be irrefutably deemed to have accepted the change.
